Client Responsibilities

Clients agree to provide timely access to accounts, brand assets, approvals, and accurate business information needed to execute campaigns. Delays in client-provided materials may affect schedules and performance outcomes.

Payment & Billing

Fees, invoicing schedules, and payment methods are specified in your service agreement. Late payments may result in paused work or suspension of ad spend management until accounts are current.

Performance & Results

VDG Marketing applies industry best practices and transparent reporting. Marketing results depend on market conditions, competition, platform policies, and client inputs. We do not guarantee specific rankings, traffic levels, lead volume, or revenue outcomes unless expressly stated in writing.

Intellectual Property

Unless otherwise agreed, VDG Marketing retains ownership of proprietary methodologies, templates, and pre-existing materials. Upon full payment, clients receive rights to final deliverables created specifically for their account as outlined in the service agreement. Third-party trademarks and platforms remain the property of their respective owners.

Confidentiality

Both parties agree to protect confidential business information shared during the engagement, except where disclosure is required by law or authorized in writing.

Termination

Either party may terminate services according to the notice period in the applicable agreement. VDG Marketing may suspend website access or service delivery for violations of these Terms, non-payment, or unlawful use of our services.

Limitation of Liability

To the fullest extent permitted by law, VDG Marketing, LLC and its team shall not be liable for indirect, incidental, or consequential damages arising from use of this website or our services. Total liability shall not exceed fees paid for the specific service giving rise to the claim during the prior three months.
